1. Acceptance of Terms

Welcome to TeamX. By booking a session, engaging our digital services, accepting a quotation, or accessing our online client portal, you agree to be bound by these Terms & Conditions.

If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the full legal authority to bind such entity to these Terms.

2. Services & Project Scope

TeamX provides specialized creative and digital growth services including, but not limited to: Web Development, UI/UX Design, Performance Marketing & Meta/Google Ads, E-Commerce Solutions, App Development, Brand Identity, and Consulting.

• Agreed Scope: The exact deliverables, milestones, technical specifications, and timeline for each engagement will be detailed in the project quotation, booking confirmation, or official service agreement.
• Scope Changes: Any request for custom features, extra revisions, integrations, or alterations outside the agreed project scope constitutes a scope change and may be billed as additional work with a revised delivery timeline.

3. Client Responsibilities

To ensure timely and effective project execution, the Client agrees to:

• Provide required branding assets, text copy, graphic materials, business requirements, and design feedback in a prompt manner.
• Supply necessary third-party credentials, hosting access, payment gateway details, domain configurations, or API access required for deployment.
• Review milestones and deliverables within 5 business days of submission to maintain project schedule momentum.

4. Quotations, Pricing & Payments

All service fees and pricing packages are quoted in agreed currencies based on project requirements.

• Invoicing & Retainers: Projects typically require an upfront deposit or initial milestone payment before work commences. Invoices are generated digitally and can be verified anytime through our live Invoice Tracker.
• Payment Clearance: Final deliverables, production access, deployment credentials, or vector source files are released upon complete payment clearance.
• Late Payments: Unpaid invoices beyond the due date may result in temporary project suspension or postponement of scheduled ad campaigns until cleared.

5. Domain, Hosting & Third-Party Services

Unless explicitly itemized and included within a dedicated written contract:

• Ongoing server hosting renewals, domain registration fees, payment gateway transaction charges, SMS/OTP credits, and advertising spend (paid directly to Meta, Google, etc.) are third-party costs borne by the Client.
• We are not liable for service outages, downtime, or policy changes caused by third-party hosting providers, payment gateways, or advertising platforms.

6. Intellectual Property & Ownership

We respect intellectual property rights and deliver clean, production-ready assets:

• Client Ownership: Upon full and final settlement of all invoices, the Client owns full rights to the approved deliverables, custom designs, and bespoke software built specifically for the project.
• Pre-Existing Assets: Open-source libraries, reusable development frameworks, third-party stock assets, and our proprietary development tools remain under their respective licenses.
• Portfolio Showcase: TeamX reserves the standard industry right to showcase completed project case studies, screenshots, and visual designs in our public portfolio, unless a written Non-Disclosure Agreement (NDA) states otherwise.

7. Revisions & Approval Process

Standard project packages include reasonable revision rounds to refine typography, visual layout, copywriting alignment, and user experience. Revisions must align with the original project brief. Fundamental restructuring after milestone approval will be estimated as separate add-on work.

8. Confidentiality & Data Privacy

Both parties agree to treat all business strategies, client credentials, trade secrets, and non-public materials exchanged during the engagement with strict confidentiality. For details on how we safeguard client data, please review our Privacy Policy.

9. Limitation of Liability

In no event shall TeamX or its operators be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunity. Our aggregate liability under any agreement shall not exceed the total fees paid by the Client for the specific service giving rise to liability.

10. Cancellation & Termination

Either party may terminate an engagement with written notice if the other party breaches material terms. Deposits for work already initiated or completed milestones are non-refundable to cover expended resources and development time.
